1. Agreement to these Terms
These Terms of Service (the “Terms”) are an agreement between you and Wrise, LLC, which operates Else (“Else,” “we,” “us,” or “our”), governing your access to our websites, applications, AI agents, and related services (together, the “Services”). By creating an account, buying usage, or using the Services, you agree to these Terms and our Privacy Policy.
If you use the Services for a company or another organization, you confirm that you have authority to accept these Terms for it. In that case, “you” includes that organization.
2. Who may use Else
You must be at least 18 years old and legally able to enter into a contract. You must provide accurate account information, keep your login credentials secure, and promptly tell us if you suspect unauthorized access. You are responsible for activity performed through your account unless caused by our breach of these Terms.
You may not share, sell, or transfer your account in a way that defeats account limits or puts another person’s data or systems at risk.
3. Using the Services
Else provides tools that can answer questions, research the web, analyze files, generate content and software, create deliverables, run multi-step tasks, and — when you connect an app or approve an action — interact with third-party services.
We may add, change, limit, or discontinue features as the Services evolve. We will try to give reasonable notice if a change materially reduces a paid feature you are actively using. Beta, preview, and experimental features may be less reliable and may change without notice.
4. Your content and Else output
Your content
You retain ownership of prompts, files, instructions, app data, and other material you provide to the Services (“Input”). You grant us a limited, worldwide license to host, copy, process, transmit, and display Input only as needed to provide, secure, maintain, and improve the Services as permitted by your settings.
Output
Subject to applicable law and third-party rights, and as between you and Else, you own the text, images, code, files, and other results generated for you (“Output”). To the extent we have rights in your Output, we assign those rights to you.
AI systems can produce similar results for different people. Output may include or resemble material that we do not own, and these Terms do not give you rights in other people’s content, third-party brands, or protected material. You are responsible for checking that your use of Output is lawful and appropriate.
Product improvement
We do not use your task content to improve AI systems or our product unless you turn on the relevant setting or otherwise give us permission. If you opt in, you can opt out for future use at any time. We may always use aggregated or de-identified operational data that does not reasonably identify you.
5. AI results and actions
AI is probabilistic. Output may be incomplete, inaccurate, outdated, offensive, or unsuitable for your situation. Else is a tool, not a substitute for your judgment or advice from a qualified professional.
- Verify important facts, citations, calculations, code, and files before using or publishing them.
- Do not rely on Else as the sole basis for medical, legal, financial, employment, housing, credit, insurance, safety, or other high-impact decisions.
- Review recipients, amounts, permissions, and final content before approving an external action.
- You are responsible for instructions you give, approvals you make, and actions taken through accounts you connect.
Approval matters. We design consequential external actions to ask first, but no technical safeguard is perfect. Use narrow permissions, keep spending limits appropriate, and disconnect apps you no longer use.
6. Third-party services and models
The Services may use third-party AI models, search providers, websites, hosting services, and apps you choose to connect. Their own terms and privacy practices may apply. Else does not control third-party content, availability, or decisions.
When you connect an app, you authorize Else to access the data and perform the actions covered by the permissions you select and your instructions. You confirm that you have the right to grant that access. You can change permissions or disconnect an app from your settings; disconnecting does not undo actions already completed.
7. Paid use, balances, and receipts
Where paid Services are offered, prices are shown in U.S. dollars unless stated otherwise. Else may charge by model tokens, compute time, browsing, storage, or other resources. Estimates are not guarantees; your final receipt reflects measured usage and any disclosed markup or adjustment.
- Prepaid balance. Funds added to your Else balance are for purchasing Services, are not a bank account or cryptocurrency, and cannot be transferred between users. We do not impose an expiration date on an active account balance, unless required by law.
- Limits. A task-level limit is a control, not a guarantee that usage will stop at the exact cent. Metering and in-flight work can create a small delay.
- Taxes. Prices may exclude applicable taxes. You authorize us and our payment provider to charge the payment method you select.
- Refunds. Purchases are non-refundable except where required by law or where a refund, failed-task adjustment, or promotional policy is shown to you. Any automatic adjustment will appear in your balance or receipt.
If a price or receipt is clearly incorrect because of a technical error, we may correct it and will not charge more without notice. Contact us promptly if you believe a receipt is wrong.
8. Acceptable use
You may not use the Services to:
- break the law, violate another person’s rights, or create or distribute unlawful content;
- harm, threaten, exploit, or deceive people, including through fraud, impersonation, harassment, or non-consensual intimate content;
- develop or deploy malware, evade security controls, gain unauthorized access, or disrupt systems;
- facilitate weapons, human trafficking, child sexual abuse, or other severe harm;
- make automated high-impact decisions about people without lawful authority, appropriate notice, and meaningful human review;
- infringe intellectual property, privacy, publicity, confidentiality, or data protection rights;
- scrape, reverse engineer, resell, or systematically extract the Services or their underlying models except as law expressly permits;
- circumvent usage, safety, access, or payment limits, or misrepresent AI-generated material in a deceptive way.
You must have all permissions needed for data you upload or connect. We may investigate suspected misuse and cooperate with lawful requests.
9. Our service and intellectual property
We and our licensors own the Services, including the Else name and mark, interfaces, software, documentation, and systems, excluding your Input and Output. Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable right to use the Services.
If you send feedback, you allow us to use it without restriction or payment, but you do not transfer ownership of any separate material included in that feedback.
10. Suspension and termination
You may stop using Else at any time. You can delete individual conversations, tasks, assistants, files, and app connections through available controls, and contact us to request account deletion.
We may limit or suspend access when reasonably necessary to protect users or systems, comply with law, prevent fraud or nonpayment, or address a material breach. Where practical, we will tell you why and give you a chance to resolve the issue. We may terminate an account for a serious or repeated breach.
Terms that by their nature should survive termination will survive, including provisions about ownership, payments already due, disclaimers, liability, and disputes.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ELSE AND ITS SUPPLIERS DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
We do not warrant that Output will be unique, accurate, or suitable for your intended use, or that any external action will succeed. Nothing in these Terms excludes a warranty or consumer right that cannot legally be excluded.
12. Limits on liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELSE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM THE SERVICES, OUTPUT, OR THIRD-PARTY SERVICES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID ELSE FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply where prohibited by law, or to liability that cannot lawfully be limited. Some jurisdictions do not allow certain exclusions, so some of these terms may not apply to you.
13. General terms
We may update these Terms as the Services or law changes. If a change materially reduces your rights, we will provide reasonable notice through the Services or by email. Changes apply prospectively from the stated effective date. If you do not agree, you should stop using the Services.
You may not assign these Terms without our consent. We may assign them as part of a merger, reorganization, financing, or sale of our business. If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, and any terms presented at purchase are the entire agreement about the Services.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Except where applicable law requires otherwise, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms or the Services, and you and Else consent to their personal jurisdiction.
Nothing in these Terms limits mandatory rights available to you under the law where you live. Before filing a formal claim, you and Else agree to try in good faith to resolve it by contacting the other party.
